TERMS OF USE — GOOSE TECHNOLOGIES INC. (O/A Apprify)

1. Acceptance of Terms
By accessing or using the Apprify AI Mortgage Assistant (the “Service”), you agree to these Terms of Use (“Terms”). If you do not agree to these Terms, you must not use the Service.
2. Definitions
Account: Your user account
User Content: Data or documents you upload or generate
Subscription: A paid access plan
Fees: Subscription fees, taxes, and applicable charges
3. Service Description
Apprify provides an AI-enhanced mortgage assistant that helps analyze, classify, summarize, and manage mortgage application data.
AI Suggestion Disclaimer
Apprify provides assistive AI outputs only. All insights, classifications, summaries, and recommendations are suggestions only and do not constitute professional, underwriting, or compliance advice. Final decisions remain solely the responsibility of licensed mortgage agents. Apprify does not guarantee the accuracy of AI outputs.
4. Eligibility & Registration
You must:
- Be the age of majority in your jurisdiction
- Have the authority to agree to these Terms
- Provide accurate and complete registration information
You are responsible for maintaining the confidentiality of your account credentials.
5. User Responsibilities
You agree to:
- Upload only authorized and lawful User Content
- Comply with all applicable laws and licensing requirements
- Use the Service only for permitted business purposes
Prohibited Conduct
You may not:
- Reverse engineer the Service
- Attempt unauthorized access
- Upload harmful or malicious code
- Scrape or harvest data
- Use the Service for unlawful purposes
6. Fees and Payment
Subscriptions renew automatically.
Fees are billed in advance.
No partial or prorated refunds are offered.
You may cancel at any time; cancellation applies to future billing cycles only.
7. Term and Termination
Either party may terminate these Terms for material breach with 30 days’ notice.
Upon termination:
- Your access to the Service ends
- You may export your data for 30 days
- After 30 days, Apprify may delete your User Content
8. Intellectual Property
Apprify owns all rights, title, and interest in the Service.
You retain ownership of your User Content and grant Apprify a limited license to process it solely for providing the Service.
9. Confidentiality
Both parties agree to protect each other’s confidential information and use it only for purposes related to the Service.
10. Privacy
Use of the Service is subject to the Apprify Privacy Policy.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available.”
Apprify disclaims all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Uninterrupted or error-free availability
12. Limitation of Liability
Apprify’s total liability will not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim.
Apprify is not liable for:
- Indirect, incidental, or special damages
- Loss of profits or revenue
- Regulatory fines incurred due to user actions
- Decisions made based on AI suggestions
13. Indemnification
You agree to indemnify and hold Apprify harmless from claims arising from:
- Your User Content
- Your breach of these Terms
- Your violation of applicable laws or licensing obligations
14. Third-Party Integrations
Use of third-party tools or integrations is governed by their respective terms.
Apprify is not responsible for third-party services or actions.
15. Modifications
Apprify may update these Terms with 30 days’ notice.
Continued use of the Service constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of Ontario and Canada.
You agree to the exclusive jurisdiction of the courts of Ontario.
17. Miscellaneous
- Invalid provisions are severable
- Waivers must be in writing
- You may not assign these Terms
- These Terms and the Privacy Policy constitute the entire agreement
